1.Absolute Financial, Investment, and Legal Disclaimer (No Financial Advice)

• Informational and Entertainment Purposes Only: The Platform, including its proprietary "Metrique Score," "MetriqueAI Score," 3-bullet AI news summaries, sentiment indicators, ranking models, and data analytics, is provided solely for general informational, educational, and entertainment purposes.
• No Fiduciary Duty or Financial Advice: MetriqueAI is not a registered broker-dealer, investment adviser, financial analyst, commodity trading advisor, or legal advisor under United States federal or state laws or foreign jurisdictions. Nothing on the Platform, including any Metrique Score or MetriqueAI Score assigned to an asset, constitutes a recommendation, endorsement, solicitation, or offer to buy, sell, stake, hold, or trade any cryptocurrency, token, digital asset, security, derivative, or financial instrument.
• Assumption of Market Risk: Cryptocurrency and digital asset markets are volatile, speculative, and carry substantial financial risk, including the total loss of principal. You are solely responsible for conducting independent due diligence before making any financial decisions. You explicitly release and hold harmless MetriqueAI, its operators, officers, employees, contractors, and affiliates from any direct, indirect, or consequential financial losses resulting from your use of Platform data, Metrique Scores, MetriqueAI Scores, or AI-generated outputs.

2.Proprietary AI Models, News Summaries, and Data Accuracy

• AI Output Limitations ("Hallucinations"): AI-synthesized summaries, automated micro-briefs, sentiment evaluations, and proprietary Metrique Scores / MetriqueAI Scores are generated algorithmically using automated scripts, large language models, and third-party data feeds. MetriqueAI does not warrant the completeness, predictive accuracy, timeliness, or reliability of any summary, headline, score, ranking, or external citation.
• No Reliance on Market Feed Reliability: Real-time token prices, sparklines, trading volumes, and market capitalizations are sourced from third-party decentralized and centralized providers. We accept no liability for data latency, pricing discrepancies, API outages, or network interruptions.

3.Account Identity, Cross-Platform Binding, and Security

• Eligibility: You must be at least 18 years old, or the legal age of majority in your jurisdiction, to access the Platform.
• Unified Account Identity: Users may authenticate via Web OAuth (Google, X) and link their Telegram accounts (TMA/Bot). You are solely responsible for maintaining the confidentiality of your login credentials and connected devices.
• One Account Per Individual: Each natural person is restricted to one active account. Any attempt to operate multiple accounts, generate synthetic identities, or bypass account verification will result in immediate termination and forfeiture of all accumulated point balances.

4.Reward Points, Gamification, and Monthly Reward Distributions

• Non-Monetary Nature of Points: Platform points, multipliers, check-in streaks, badges, and leaderboard rankings are promotional, non-transferable, virtual loyalty metrics with zero cash value, no monetary equivalent, and no property rights. Points are not legal tender, debt obligations, equity, or virtual currency.
• Discretionary Reward Sprints: Any periodic promotional distributions, such as the "Monthly SOL Leaderboard Sprint" or token reward pools, are strictly discretionary promotional sweepstakes or airdrops. MetriqueAI reserves the absolute right to modify, cancel, delay, adjust, or terminate point allocations, reward pools, tier multipliers, or prize structures at any time without prior notice or liability.
• Wallet Binding and Lockout Rules: You are solely responsible for providing a valid, secure, non-custodial Solana wallet address compatible with SPL token transfers. MetriqueAI is not responsible for points or assets sent to incorrect, compromised, or exchange-locked deposit addresses. Wallets are subject to automated security freeze windows prior to any distribution cycle. Modifying wallet addresses during an active lock period is prohibited.
• Forfeiture and Expiration: Inactive accounts, unverified referred accounts, or balances subject to anti-exploit flags or automated moderation strikes may be burned or expired without compensation.

5.Anti-Sybil, Anti-Botting, and Prohibited Conduct

MetriqueAI maintains strict automated fraud detection and moderation systems. You agree not to engage in:

• Automated Exploits: Deploying bots, scrapers, automated voting scripts, macro tools, click farms, or unauthorized headless browsers.
• Vote Manipulation: Artificially inflating sentiment metrics, engaging in coordinated voting schemes, or bypassing the 24-hour voting cooldown window.
• Referral and Social Share Abuse: Fabricating referral sign-ups, running automated link-click bots, generating synthetic traffic, or posting deceptive share links across external social networks.
• Public Spamming: Publishing unsolicited wallet strings, promotional spam, or malicious payloads within linked Telegram bot channels or communities.
• Three-Strike Moderation: Automated systems enforce strike increments for suspicious behavior. Accumulating three (3) moderation strikes triggers an automatic, permanent platform ban, immediate ledger point burns, and permanent wallet blacklisting.

6.Subscriptions, Paid Tiers ("Gold Tier"), and Billing

• Stripe Billing: Paid tiers, premium analytics, and point multipliers are billed on a recurring subscription basis processed via Stripe. By subscribing, you authorize automatic recurring charges to your payment method.
• No Refunds Policy: All subscription fees, upgrades, and digital access purchases are strictly non-refundable to the maximum extent permitted by applicable law.
• Tier Modifications: MetriqueAI reserves the right to adjust subscription pricing, tier entitlements, or feature limits upon reasonable advance notice.

7.Intellectual Property Rights

• Company Ownership: All software, proprietary algorithms, Metrique Scores, MetriqueAI Scores, UI designs, codebases, branding, logos, graphics, and trade secrets are the exclusive intellectual property of MetriqueAI.
• Limited License: Users are granted a revocable, non-exclusive, non-sublicensable, non-transferable license to access the Platform solely for personal, non-commercial use. Reverse engineering, decompiling, scraping, or creating derivative works of our proprietary scoring models or ranking algorithms is strictly prohibited.

8.Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METRIQUEAI, ITS FOUNDERS, OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CRYPTOGRAPHIC ASSETS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

1. 1THE USE OF, OR INABILITY TO USE, THE PLATFORM;
2. 2ANY RELIANCE PLACED ON PROPRIETARY METRIQUE SCORES, METRIQUEAI SCORES, NEWS DIGESTS, OR SENTIMENT GAUGES;
3. 3UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS, WALLETS, OR DATA;
4. 4ANY INTERRUPTION, DELAY, OR SUSPENSION OF SERVICES, API OUTAGES, OR CRON FAILURES;
5. 5ANY FORFEITURE, REDUCTION, OR ELIMINATION OF REWARD POINTS, PRIZES, OR LEADERBOARD STANDINGS;
6. 6BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED THROUGH THE PLATFORM BY ANY THIRD PARTY.

UNDER NO CIRCUMSTANCES SHALL METRIQUEAI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO METRIQUEAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

9.Indemnification

You agree to defend, indemnify, and hold harmless MetriqueAI, its parent company, subsidiaries, affiliates, officers, contractors, and employees from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Platform;
• Your violation of these Terms;
• Your violation of any third-party right, including intellectual property or privacy rights;
• Any trading or financial decisions you make based on Platform data, Metrique Scores, or MetriqueAI Scores;
• Any botting, Sybil attack, or malicious exploitation originating from your account.

10.Mandatory Binding Arbitration and Class Action Waiver

• Informal Resolution: Before filing any claim, you agree to attempt to resolve disputes informally by contacting Company support.
• Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding individual arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association (AAA), rather than in court.
• Class Action Waiver: YOU AND METRIQUEAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

11.Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

12.Modifications to Terms

We reserve the right to revise or replace these Terms at any time at our sole discretion. Continued use of the Platform following any changes constitutes acceptance of the updated Terms.
