1.Absolute Financial, Investment, and Legal Disclaimer (No Financial Advice)

• Informational and Analytical Tools Only: The Platform, including but not limited to the proprietary MetriqueAI Score, forensic pillar briefs, automated asset evaluations, rank calculations, sentiment gauges, volatility indicators, whale trade telemetry, and automated market summaries, is provided strictly for informational, educational, and analytical software evaluation purposes.
• No Broker-Dealer, Investment Adviser, or Fiduciary Capacity: MetriqueAI LLC is not a registered investment adviser, registered broker-dealer, commodity trading advisor (CTA), money services business (MSB), custodian, bank, or legal/tax advisory entity under the securities or commodities laws of the United States (including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Advisers Act of 1940) or any foreign jurisdiction.
• No Offer, Solicitation, or Endorsement: Nothing contained on the Platform or transmitted via our Telegram channels, bots, push alerts, or email digests constitutes an offer to sell, a solicitation of an offer to buy, an endorsement, or a personal financial recommendation of any digital asset, cryptocurrency, utility token, non-fungible token (NFT), derivative, synthetic asset, or security. MetriqueAI does not execute trades, broker transactions, route liquidity, or manage client capital.
• Assumption of Extreme Market Risk: Cryptographic and digital asset markets operate 24/7 and exhibit extreme volatility, illiquidity, price slippage, regulatory uncertainty, and technical vulnerabilities. You expressly acknowledge and accept that you may lose up to 100% of your capital on any transaction. You are solely responsible for conducting your own independent financial, forensic, and legal due diligence before initiating any transaction.
• Release of Liability for Trading Losses: Under no circumstances shall MetriqueAI LLC, its managers, members, software developers, contractors, or agents be liable for any trading losses, missed opportunities, liquidations, slippage, failed executions, or tax consequences resulting directly or indirectly from your access to or reliance on Platform data, proprietary scores, or algorithmic digests.

2.Algorithmic Models, AI Pillar Briefs, and Data Feeds

• Algorithmic and AI Generation Limitations: MetriqueAI utilizes automated data pipelines, machine learning models, and large language models (LLMs) to synthesize automated forensic pillar briefs (80–120 words), aggregate on-chain telemetry, and generate the 0–100 MetriqueAI Score. You acknowledge that artificial intelligence outputs may occasionally contain inaccuracies, incomplete context, or algorithmic artifacts ("hallucinations"). MetriqueAI makes no representations or warranties regarding the predictive utility, mathematical infallibility, or forward-looking accuracy of its models.
• Third-Party Telemetry and Pricing Providers: Real-time spot prices, trading volumes, liquidity metrics, on-chain balances, and charting interfaces are ingested from decentralized and centralized third-party data providers, decentralized oracles, and third-party software platforms (including TradingView). MetriqueAI does not verify, audit, or guarantee the precision or integrity of third-party data feeds. We disclaim all liability for stale prices, API rate-limiting, missing blocks, network forks, or pricing discrepancies.

3.Telegram Bot, Webhook Telemetry, and Alert Latency

• Delivery and Latency Disclaimer: MetriqueAI provides automated notifications, including deep-tier movers alerts, whale transaction feeds, public redacted teasers, and personalized watchlist updates via push notifications and direct messaging through Telegram bots. You acknowledge that delivery speeds are contingent upon third-party telecommunications infrastructure, internet service providers, mobile operating system permissions, Apple/Google push notification gateways, and the Telegram API.
• No Guarantee of Real-Time Triggering: MetriqueAI does not warrant that alerts will trigger or be received in real-time, synchronously, or without interruption. Price moves, score adjustments, and market shifts may occur faster than network delivery times. Relying on automated alerts for stop-loss execution, liquidation prevention, or time-sensitive order placement is undertaken entirely at your own operational risk.
• Bot Interaction Limits: Commands executed via the Telegram bot (such as /notify) or Webhook handshakes are subject to automated rate limits and standard maintenance downtime.

4.Subscriptions, Paid Tiers ("Gold Tier"), Billing, and Paywall

• Paywall and Tier Entitlements: MetriqueAI reserves the right to gate specific platform features, including access to granular scoring, deep-tier data (e.g., digital assets ranked 51 and higher), complete pillar breakdowns, private Telegram bot feeds, and specialized digests behind paid subscriptions ("Gold Tier" or enterprise access).
• Billing via Stripe: All recurring subscription charges are processed through third-party payment processor Stripe. By purchasing a subscription, you authorize MetriqueAI (via Stripe) to store your payment credential and bill the recurring subscription fee (including applicable local, state, or federal taxes) automatically at the beginning of each billing cycle (e.g., monthly, annually) until canceled.
• Strict No-Refund Policy: To the maximum extent permitted by applicable law, all subscription purchases, tier upgrades, and platform access fees are final and strictly non-refundable. We do not provide prorated refunds, credits, or fee adjustments for partially used subscription periods, canceled auto-renewals, or account terminations resulting from violations of these Terms.
• Cancellation Process: You may cancel your subscription at any time through your Account Settings or the customer billing portal. Cancellation stops future recurring charges but preserves your paid tier entitlements through the end of your prepaid billing period.
• Anti-Chargeback Enforcement: If you initiate an unjustified payment reversal, credit card chargeback, or payment dispute with your financial institution, MetriqueAI reserves the right to immediately suspend your account, revoke API and bot access, permanently blacklist your email domain and payment identity, and pursue collection remedies for delinquent balances.

5.API Licensing, Platform Scrapes, and Technical Restrictions

• Limited License: Subject to compliance with these Terms, MetriqueAI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Platform for your personal, internal, non-commercial analytical use.
• Prohibited Scraping and Reverse Engineering: Except as expressly authorized via an official, paid MetriqueAI API license, you agree not to:

1. 1Scrape, crawl, harvest, spider, or systematically extract data, scores, text, or metrics from the Platform using automated scripts, scrapers, headless browsers, or bots;
2. 2Reverse-engineer, decompile, disassemble, trace, or extract the underlying mathematical logic, weighting algorithms, or heuristics of the MetriqueAI Score;
3. 3Mirror, frame, duplicate, or white-label any portion of the Platform, including the UI layout, proprietary charts, and forensic pillar widgets;
4. 4Sell, lease, redistribute, broadcast, or syndicate MetriqueAI data feeds, digests, or alerts to any third party or commercial syndication channel without prior written authorization;
5. 5Interfere with or compromise system integrity, circumvent Cloudflare rate limits, bypass authentication mechanisms, or overload platform hosting servers.

6.User Accounts, Cross-Platform Binding, and Anti-Sybil Rules

• Account Eligibility: You represent and warrant that you are an individual of at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into these Terms.
• Single Individual Account Limit: Each natural person may maintain only one (1) active platform account. The registration of multiple accounts, generation of synthetic accounts, or utilization of automated throwaway or disposable email addresses (e.g., temporary inbox services) is strictly prohibited.
• Account Security: You are exclusively responsible for preserving the confidentiality of your login credentials (OAuth via Google, X, or email magic links) and linked Telegram sessions. Any activity conducted through your authenticated session is deemed to have been authorized by you.

7.Reward Points, Gamification, and Discretionary Distributions

• Promotional Loyalty Metrics (Zero Monetary Value): Any points, multipliers, badges, check-in streaks, or leaderboard tiers awarded through the Platform are strictly promotional virtual loyalty counters. Points have zero cash value, constitute no legal debt, generate no equity interest, and do not represent property or virtual currency. Points cannot be redeemed for fiat currency, sold, traded, or transferred outside the Platform.
• Discretionary Sprints: Any reward pools (including promotional Solana SPL token airdrops or leaderboard sprints) are operated solely as discretionary marketing promotions. MetriqueAI LLC reserves absolute discretion to modify, pause, recalculate, audit, reduce, or cancel point balances, reward pools, distribution schedules, or eligibility criteria at any time without liability.
• Wallet Security and Freezes: You are solely responsible for inputting a secure, non-custodial Solana wallet address compatible with SPL tokens. MetriqueAI is not liable for failed distributions resulting from incorrect public keys, exchange-managed deposit addresses, or compromised private keys. Wallets are subject to automated freeze windows prior to distributions; unauthorized attempts to re-bind wallets during an active distribution cycle are grounds for disqualification.
• Sybil and Exploit Penalties: MetriqueAI employs automated fraud detection systems. Any use of macro scripts, bot-driven referral farming, synthetic traffic generators, coordinated vote-stuffing, or multi-accounting will result in an immediate permanent ban, forfeiture of all point balances, and blacklisting of associated wallet addresses.

8.Sanctions and Regulatory Compliance (OFAC)

You represent and warrant that:

1. 1You are not located in, organized under the laws of, or a resident of any country or region subject to comprehensive trade sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC") (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine);
2. 2You are not listed on any U.S. Government list of prohibited or restricted parties, including the Specially Designated Nationals and Blocked Persons ("SDN") List;
3. 3You will not access the Platform using virtual private networks (VPNs) or proxy networks to obscure your physical location if you reside in a restricted jurisdiction.

9.Intellectual Property Ownership

All intellectual property rights in and to the Platform—including all software code, databases, database schemas, styling, user interface designs, logos, trademarks, wordmarks, the "MetriqueAI" brand, algorithmic formulas, and the proprietary structure of the MetriqueAI Score—are the exclusive property of MetriqueAI LLC. All rights not expressly granted to you under these Terms are reserved by the Company.

10.Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, ALERTS, SCORES, DATA FEEDS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. METRIQUEAI LLC EXPLICITLY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

METRIQUEAI LLC DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR THAT DEFECTS WILL BE TIMELY CORRECTED.

11.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METRIQUEAI LLC, ITS DIRECTORS, MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, SAVINGS, GOODWILL, USE, DATA, CRYPTOGRAPHIC TOKENS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

1. 1YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE PLATFORM;
2. 2ANY TRADING DECISIONS, FINANCIAL ACTIONS, OR INVESTMENTS MADE IN RELIANCE ON PLATFORM METRICS, METRIQUEAI SCORES, AI-GENERATED BRIEFS, OR TELEGRAM/PUSH ALERTS;
3. 3ANY PRICING ERRORS, CHARTING INACCURACIES, DATA LATENCY, OR API OUTAGES;
4. 4UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR ACCOUNT, TRANSMISSIONS, OR STORED ASSETS;
5. 5ANY FORFEITURE, AUDIT ADJUSTMENT, OR CANCELLATION OF VIRTUAL REWARD POINTS OR PROMOTIONAL AIRDROPS; OR
6. 6ANY BUGS, VIRUSES, TROJAN HORSES, OR MALICIOUS CODE TRANSMITTED THROUGH THE PLATFORM BY ANY THIRD PARTY.

UNDER NO CIRCUMSTANCES SHALL THE TOTAL AGGREGATE LIABILITY OF METRIQUEAI LLC FOR ALL CLAIMS RELATING TO THE PLATFORM OR THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO METRIQUEAI LLC FOR PLATFORM ACCESS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

12.Indemnification

You agree to defend, indemnify, and hold harmless MetriqueAI LLC, its managers, members, employees, affiliates, service providers, and legal representatives from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your access to or use of the Platform;
• Your violation of these Terms or applicable law;
• Any investment or trading activity initiated by you;
• Your violation of any third-party intellectual property, privacy, or proprietary rights;
• Any botting, scraping, Sybil generation, or unauthorized technical manipulation executed via your account credentials.

13.Dispute Resolution: Mandatory Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

• Informal Pre-Dispute Resolution: Prior to initiating any formal legal proceeding, you agree to attempt to resolve the dispute informally by delivering written notice to legal@metrique.ai. The notice must contain your full legal name, email address associated with your account, and a detailed description of the claim. Both parties agree to negotiate in good faith for at least thirty (30) calendar days following receipt before initiating arbitration.
• Binding Individual Arbitration: Any controversy, dispute, or claim arising out of or relating to these Terms, the breach thereof, or your use of the Platform that cannot be resolved through informal negotiations shall be settled exclusively by final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles County, California, before a single neutral arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
• Class Action and Representative Waiver: YOU AND METRIQUEAI LLC MUTUALLY AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF, CLASS REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator shall have no authority to consolidate multiple claims or preside over any form of representative proceeding.
• 30-Day Right to Opt Out: You have the right to opt out of the provisions of this Section 13 by delivering written notice of your decision to legal@metrique.ai within thirty (30) days of your initial access to or use of the Platform. Your notice must clearly state your intention to opt out of binding arbitration and include your legal name and primary account email.

14.Governing Law and Jurisdiction

These Terms, and any dispute arising from or related to their subject matter, shall be governed by, construed, and enforced in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law that would require the application of the law of another jurisdiction.

To the extent that any legal proceeding or court action is permitted outside of arbitration under these Terms, you and MetriqueAI LLC consent to the exclusive jurisdiction and venue of the state and federal courts situated in Los Angeles County, California.

15.Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, invalid, void, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

These Terms, together with our Privacy Policy and any written addenda signed by MetriqueAI LLC, constitute the complete, sole, and entire agreement between you and MetriqueAI LLC concerning your use of the Platform, superseding all prior oral or written agreements, negotiations, or understandings.

17.Advertising Measurement and Cookies

• Conversion Measurement: MetriqueAI uses Google Ads and X (Twitter) conversion tracking to measure which advertisements lead people to create an account or subscribe. These services may set cookies and receive information such as pages visited, a hashed (one-way encrypted) email address, IP address, browser details, and ad click identifiers.
• Your Choice: Where the law requires consent, including the European Economic Area, the United Kingdom, and Switzerland, these tags stay off until you allow them through the cookie banner. Declining does not limit any feature of the Platform.
